Terms of Service

1. Acceptance of these Terms

By accessing, browsing, or otherwise using the Site, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. These Terms apply to all visitors and users of the Site. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

2. Definitions

“Site” means usedel.ai and any associated pages, content, and functionality. “Services” means the informational and scheduling functions made available through the Site. “Engagement” means a paid migration, implementation, or improvement project performed by Del AI under a separate written agreement. “Content” means text, graphics, logos, data, and other materials made available on the Site.

3. Eligibility

The Site is intended for business users who are at least 18 years of age and able to form a legally binding contract. By using the Site you represent that you meet these requirements and that your use complies with all applicable laws and regulations.

4. Description of services

Del AI provides AI-led migration from proprietary SaaS systems (such as NetSuite and Salesforce) to open-source software that customers own, together with AI agent implementation and ongoing improvement retainers. The Site itself is an informational platform that describes these services and lets you schedule a consultation. Nothing on the Site constitutes an offer to perform services on particular terms, and any savings, ROI, or timeline figures shown are illustrative estimates, not commitments.

5. Engagement-specific agreements

Any paid Engagement is governed by a separate written agreement (such as a master services agreement, statement of work, and order form) executed between you and Del AI. In the event of a conflict between these Terms and an executed Engagement agreement, the Engagement agreement controls with respect to that Engagement. These Terms continue to govern your use of the Site.

6. Consultations and scheduling

Consultations may be booked through third-party scheduling tools made available on the Site. Booking a consultation does not create an Engagement or any obligation on either party to enter into one. You agree to provide accurate information when scheduling and to use the scheduling functions only for legitimate business purposes.

7. Intellectual property

The Site and its Content, including the Del AI name, logo, and design, are owned by Del AI or its licensors and are protected by intellectual property laws. Except as expressly permitted, you may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or exploit any part of the Site without our prior written consent.

Open-source software referenced or deployed in connection with our services (for example, Odoo and other open-source components) is licensed under its own respective open-source licenses, and your rights in that software are governed by those licenses. Ownership of deliverables produced during an Engagement is addressed in the applicable Engagement agreement.

8. Acceptable use

You agree not to use the Site to: (a) violate any applicable law or regulation; (b) gain or attempt to gain unauthorized access to the Site, its servers, or any connected systems; (c) interfere with or disrupt the integrity or performance of the Site; (d) introduce malware or other harmful code; (e) scrape, harvest, or collect data from the Site except as permitted by our robots.txt and applicable law; or (f) use the Site in any manner that could damage, disable, or impair it or interfere with any other party’s use of it.

9. Third-party services and links

The Site relies on and may link to third-party services, including Cal.com for scheduling and Google Analytics and Google Tag Manager for measurement. These services are governed by their own terms and privacy policies, and we are not responsible for their content, practices, or availability. Your use of any third-party service is at your own risk.

10. Fees and payment

Use of the Site is free. Fees for any Engagement are set out in the applicable Engagement agreement and are not governed by these Terms. No fees are charged through the Site itself.

11. Confidentiality

We treat information you share during consultations and Engagements as confidential. Our standard practice is to enter into a mutual non-disclosure agreement at the start of an Engagement so that confidential information is protected from day one. Confidentiality obligations specific to an Engagement are set out in that Engagement’s agreement.

12. Disclaimer of warranties

The Site and its Content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that any information on it is accurate, complete, or current. Any estimates, case studies, or example outcomes do not guarantee future results, and nothing on the Site constitutes legal, financial, tax, accounting, or other professional advice.

13. Limitation of liability

To the fullest extent permitted by law, Del AI and its officers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of, or inability to use, the Site, even if advised of the possibility of such damages. To the extent any liability cannot be excluded, our total aggregate liability arising out of or related to the Site will not exceed one hundred U.S. dollars (USD $100). Liability arising out of an Engagement is governed solely by the applicable Engagement agreement.

14. Indemnification

You agree to indemnify, defend, and hold harmless Del AI and its officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Site or your violation of these Terms or any applicable law.

15. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law, will survive.

16. Governing law and dispute resolution

These Terms are governed by the laws of the State of California, United States, without regard to its conflict of law provisions. The parties agree to first attempt to resolve any dispute informally. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in California, and you consent to personal jurisdiction in those courts.

17. Changes to these Terms

We may revise these Terms from time to time. When we do, we will update the “Last updated” date above. Changes are effective when posted. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.

18. Miscellaneous

These Terms, together with the Privacy Policy and any Engagement agreement, constitute the entire agreement between you and Del AI regarding the Site. If any provision is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our prior written consent; we may assign them freely. The Site is controlled and operated from the United States, and we make no representation that it is appropriate or available for use in other locations.
